Senior Legal Counsel - MENA

SUMMARY OF ESSENTIAL FUNCTIONS:

 

Oversee and manage Schindler’s legal and compliance matters in MENA, including:

 

1.Ensure that, in combination with the incumbent’s own efforts, the following services are successfully provided for the Schindler business:

 

 a. Contract Advice: Advice on all legal aspects and assist in the drafting and negotiation for a wide variety of contracts, including purchase or sales agreements, distribution agreements, agency agreements, maintenance agreements, business acquisitions etc.

 b. Corporate Housekeeping: Supporting all aspects of corporate governance, including license renewals, appointment of authorized signatories, issuance of powers of attorney, coordinating trade/commercial registration renewals for branch/rep offices (where necessary); Assisting in preparing materials for Board meetings, shareholder meetings, changes to constitutional documents, application forms etc.

 c. M&A: Provide legal support for business acquisitions and divestitures, including assistance in due diligence activities and providing legal support for integration of new acquisitions.

 d. Litigation: Providing commercial and employment litigation support, either internally or with the use of outside counsel.

 e. Departmental Matters: Support the implementation of departmental processes, including deploying, measuring, and reporting on key performance indicators for the department.

 f. Legal and Compliance Education: Preparing and delivering legal and compliance education in the form of seminars or presentations for sales and marketing managers, corporate functions and senior business leaders etc.

 

2. Design and implement procedures and processes, to support the legal strategies, to ensure the efficient handling of all departmental processes, including setting and measuring key performance indicators for the department, and ensuring that domestic and relevant foreign laws are monitored and that departmental processes and practices are promptly adapted to reflect important legal changes.

 

3. Work closely with GLC on various corporate matters pertaining to the legal entities and offices in MENA.

 

4. Work with the General Counsel and Head of Compliance, MENA and other functions within Schindler and senior Schindler management to handle high profile legal and compliance activities with cross-functional ramifications, such as transactions, litigation etc.

 

5. Provide advice and counseling to the management and business functions of Schindler MENA KG on all legal and compliance aspects.

 

6. Work closely with the GLC team to select, direct and assess outside counsels that provide legal services in MENA.

 

 

Mobility needs you

 

ESSENTIAL REQUIRMENTS:

 

  • Honours Degree of Laws from a highly regarded Law School.
  • At least 8-12 years’ post qualification experience with relevant experience in industrial practice, preferably with a multinational company.
  • Experience within the Middle East countries is a must.
  • Fluency in written and spoken Arabic and English.
  • Excellent communication skills and a proven ability to interface with all levels of management is a must.
  • Must be a team player, with the ability to evolve in an international environment, to develop and maintain close working relationships with in-house clients in MENA Business Unit, colleagues in Group Legal and Compliance (GLC) and other geographies, and colleagues in other corporate functions. 
  • Must demonstrate a considerable level of leadership and a strong ability to manage ambiguity and to adopt to complex and fast-changing environments.
