Your main responsibilities
Job Title: In-House Business Counsel - AGM Legal
Location: Mumbai
Reports To: General Counsel
Experience Required: 12–15 years (with minimum 5 years in litigation practice)
About the Role
We are seeking a senior In-House Business Counsel with extensive experience in litigation, corporate advisory, compliance, and secretarial matters. The ideal candidate will be a strategic legal partner, adept at managing complex disputes, regulatory obligations, and risk mitigation, while supporting business objectives across functions.
Key Responsibilities
1. Litigation & Dispute Management
• Lead and manage corporate litigation matters, including commercial, employment, and regulatory disputes.
• Oversee external counsel, ensuring effective strategy, cost efficiency, and timely resolution.
• Provide proactive legal risk assessment to minimize future disputes.
2. Investigations & Compliance
• Conduct internal investigations related to code of conduct violations, ethics complaints, and police matters.
• Advise on disciplinary actions, compliance risks, and reporting requirements.
• Develop and implement compliance frameworks, policies, and training programs.
3. Contract & Commercial Advisory
• Draft, review, and negotiate contracts, agreements, NDAs, and other commercial documents.
• Advise business teams on contractual risks and implications for operations and growth.
• Ensure all agreements comply with statutory and regulatory requirements.
4. Crisis & Risk Management
• Provide legal guidance during organizational crises, regulatory inquiries, or reputational challenges.
• Assist in strategic decision-making to mitigate risks and protect company interests.
5. Data Privacy & DPDP Implementation
• Lead data protection initiatives and ensure compliance with DPDP and related privacy laws.
• Implement privacy policies, governance frameworks, and employee training programs.
6. Statutory, Secretarial & Regulatory Compliance
• Manage all corporate secretarial responsibilities, including board and shareholder resolutions, statutory filings, and maintenance of statutory registers.
• Ensure compliance with Companies Act provisions, corporate governance standards, and other statutory obligations.
• Monitor legal and regulatory changes, providing actionable advice to the business
What you bring
Qualifications & Experience
• Bachelor’s degree in Law (LL.B); CS ( Preferred)
• 12–15 years of overall experience in corporate law, with a minimum of 5 years in litigation practice.
• Hands-on experience in internal investigations, police complaints, crisis management, secretarial compliances, and DPDP implementation.
• Strong knowledge of corporate governance, statutory compliances, contract law, and regulatory frameworks.
• Proven ability to provide practical, business-oriented legal advice and negotiate effectively with stakeholders.

• High ethical standards and discretion in handling sensitive matters.
• Strong communication, drafting, and advocacy skills.
• Ability to manage multiple complex legal matters simultaneously.
